StandDown Alerts LLC Terms of Service
Last updated and effective: November 2, 2026
1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between StandDown Alerts LLC, a Texas limited liability company ("StandDown," "we," "us," or "our"), and the company or individual that creates an account or uses the Service ("Subscriber," "you," or "your"). By creating an account, clicking "I agree," or otherwise using StandDown, you accept these Terms and represent that you are authorized to bind your organization to them. If you do not agree, do not use the Service.
2. Definitions
- Service — the StandDown weather-delay recordkeeping, notification, and reporting application, website, and related features provided at standdownalerts.com.
- Site — a facility or jobsite you configure in the Service.
- Authorized Users — the people you permit to receive notifications from, make calls in, or access, your account.
- Records — the event logs, call logs, lightning event data, and reports the Service generates for your Sites.
- Lightning Data — the third-party lightning detection data the Service uses to open and close lightning events.
3. What the Service does
StandDown records weather delays on the Sites you configure and turns those records into reports. Lightning events are opened and closed from Lightning Data using the radii and timing you set, and the Service sends a notification to your Authorized Users when that happens. Rain, wind, and other calls are entered by your Authorized Users and logged with the time and the person who made them. The Service compiles those events and calls into downloadable and scheduled reports. That recordkeeping, notification, and reporting is the entire function of the Service.
4. Recordkeeping and notification tool only — no safety guarantee
StandDown is a recordkeeping, notification, and reporting tool only. It records the calls your people make and the lightning events detected near your Sites, and it reports on them. It is not a safety system, a lightning detection system, a safety device, or a substitute for your own weather and safety procedures, on-site observation, or the judgment of a qualified supervisor. StandDown does not control work, direct personnel, or decide when work stops or resumes, and it does not guarantee the detection, accuracy, completeness, or timing of any weather event. Lightning Data and notifications may be delayed, incomplete, inaccurate, or unavailable.
You remain solely responsible for the safety of personnel in the field — for deciding when to stop and resume work, and for maintaining and following your own weather and safety procedures. You must not rely on StandDown as a means of protecting people from weather or any other hazard. To the fullest extent permitted by law, StandDown disclaims all liability for any injury, death, loss, or damage arising from the use of, or reliance on, the Service.
5. Your responsibilities
You are responsible for: (a) maintaining your own weather and safety procedures and following them; (b) configuring each Site's location and criteria correctly and keeping them current; (c) keeping your Authorized Users and their contact information accurate, and confirming they can and do receive notifications on working devices; (d) making all decisions about stopping and resuming work and about the safety of personnel; (e) training your personnel on your own procedures and on how StandDown is used to record them; (f) entering calls, crew counts, shift hours, and working days accurately and promptly, since the Records and reports are built from what you enter; and (g) having an independent means of weather awareness available in case the Service is delayed or unavailable.
6. Data, availability, and accuracy
Lightning Data is provided by third-party detection networks and services. We do not generate it and cannot guarantee its accuracy, completeness, or timeliness. Rain, wind, and other calls are what your Authorized Users observed and entered, not measured weather data, and the Service does not verify them. Notification delivery depends on networks, carriers, devices, and services outside our control and may be delayed or fail. Lightning events may be opened only during the hours and conditions you configure. The Service is provided without any guarantee of uptime or availability, and may experience outages, maintenance, or interruptions. When the Service is unavailable, you must rely on your own procedures and weather awareness.
7. No warranty
The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, StandDown disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service, Lightning Data, or notifications will be accurate, timely, uninterrupted, error-free, or will achieve any particular result.
8. Assumption of risk
You knowingly assume all risk arising from your use of, and any reliance on, the Service, including any decision made or not made based on a StandDown notification or the absence of one. Responsibility for the safety of personnel and for all stop-work and resume-work decisions remains with you at all times.
9. Limitation of liability
To the fullest extent permitted by law: (a) StandDown will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, or business interruption; (b) StandDown will not be liable for any personal injury, death, or property damage arising from the use of or reliance on the Service, except to the extent such liability cannot be disclaimed under applicable law; and (c) StandDown's total aggregate liability for all claims arising out of or relating to the Service will not exceed the fees you paid to StandDown in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain of these limitations, so some may not apply to you.
10. Indemnification
You will defend, indemnify, and hold harmless StandDown and its members, officers, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your Sites, personnel, or operations; (c) any safety or work decision you make or fail to make; (d) your breach of these Terms; or (e) your violation of any law or the rights of any third party.
11. No regulatory, contractual, or claim assurance
StandDown does not ensure or certify compliance with OSHA or any other safety, health, environmental, or regulatory requirement. You are solely responsible for your own compliance with all laws and standards applicable to your operations. Records and reports are documented records of your own entries and the data available; they are not a certified delay determination, they do not constitute notice under any contract, and StandDown does not guarantee that any report will be accepted by an owner, client, insurer, court, or arbitrator in support of any claim, extension, or payment. Your contract's own notice and documentation requirements remain your responsibility.
12. Subscriptions, fees, and billing
The Service is sold as a subscription, priced at $49 per monitored Site per month. Fees, billing period, and any applicable minimums are those shown at the time of purchase. Subscriptions renew automatically for successive periods until cancelled as described at purchase. Payments are processed by a third-party payment processor; you authorize us and that processor to charge your payment method. Fees are exclusive of taxes, which you are responsible for. We may change pricing on prior notice, effective at your next renewal. Except where required by law or expressly stated, fees are non-refundable. We may suspend or limit the Service for non-payment.
13. Accounts and security
You are responsible for safeguarding your account credentials and for all activity under your account. You will promptly notify us of any unauthorized use. You are responsible for your Authorized Users' compliance with these Terms.
14. Acceptable use
You will not: misuse the Service; attempt to reverse engineer, copy, or create derivative works from it except as permitted by law; resell or provide the Service to third parties except as authorized in writing; interfere with or disrupt the Service; or use it in violation of any law.
15. Intellectual property
StandDown and its licensors own all rights in the Service and its software, design, and content. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service during your subscription for your internal business purposes. If you give us feedback, you grant us a perpetual, royalty-free license to use it.
16. Your data and Records
As between you and StandDown, you own the data you enter and the Records generated for your Sites. You grant us the rights necessary to host and process that data to provide the Service. You may export your Records while your subscription is active. Timesheets you upload, and the people, man-hour and equipment totals you enter for a delay, are your own records: StandDown keeps them as uploaded and entered and checks only that the totals fit the length of the delay. StandDown does not verify payroll or time records, and you are responsible for their accuracy. We may use aggregated, de-identified data to operate and improve the Service. Our handling of data is further described in our Privacy Policy.
17. Third-party services
The Service relies on third parties, including Lightning Data providers, hosting, email delivery, and payment processing. We are not responsible for the acts, omissions, failures, or outages of third parties, and your use of certain features may be subject to those third parties' terms.
18. Term and termination
These Terms apply while you use the Service. Either party may terminate as described at purchase or on thirty (30) days' notice. We may suspend or terminate immediately for breach, non-payment, or misuse. On termination, your right to use the Service ends; you may export your Records before the end of your paid period; and the sections that by their nature should survive (including Tool Only, No Warranty, Limitation of Liability, Indemnification, and Governing Law) will survive.
19. Changes to these Terms or the Service
We may update these Terms from time to time. We will provide notice of material changes, and your continued use after they take effect is your acceptance. We may also modify, add, or discontinue features of the Service.
20. Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Orange County, Texas, and the parties consent to that jurisdiction.
21. Force majeure
StandDown is not liable for any failure or delay caused by events beyond its reasonable control, including outages of Lightning Data providers, carriers, or hosting; acts of God; severe weather; or network failures.
22. General
These Terms are the entire agreement between the parties regarding the Service and supersede prior understandings. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Notices to you may be given through the Service or by email; notices to us go to the address below. Headings are for convenience only.
23. Text message (SMS) program
Program name: StandDown Alerts. StandDown offers an optional text-message (SMS) alert program that sends automated weather notifications — such as lightning stand-down and all-clear notices and jobsite calls — to the mobile numbers of Authorized Users for the Sites they are assigned to. Participation is optional, and text alerts are in addition to the email and push notifications the Service already provides.
Consent and opt-in. An Authorized User is added to a Site by the Subscriber, and then opts in to text alerts within the Service by providing their own mobile number and agreeing to receive them. No number is enrolled in the SMS program without that user's own confirmation. The Subscriber is responsible for having the right to provide any number it adds and for the accuracy of those numbers.
Message frequency. Message frequency is not fixed; it varies with weather and with the calls made on a user's assigned Sites. There is no fixed number of messages per period.
Message and data rates. Message and data rates may apply according to the user's mobile plan and carrier. StandDown does not charge recipients for text messages.
Opt-out and help. A recipient may opt out of text alerts at any time by replying STOP to any StandDown text message, which ends further texts to that number; a user can also turn text alerts off within the Service. Reply HELP for help, or contact info@standdownalerts.com. Opting out of texts does not remove a user from email or push alerts, which are managed separately in the Service.
Carriers and delivery. Mobile carriers are not liable for delayed or undelivered messages. As with all notifications under these Terms, text delivery depends on carriers, devices, and networks outside our control and may be delayed, incomplete, or fail; text alerts must not be relied on as a means of weather safety or as the sole means of reaching your crews.
